Bir varl\u0131ktan yararlanma ya da ona sahip olma hakk\u0131n\u0131 g\u00f6sterir. Bu sertifikalar hak sahiplerine uzun, orta, de\u011fi\u015fken ya da sabit getiri sa\u011flar. Likit bir finansal ara\u00e7t\u0131r ve ikincil piyasada i\u015flem g\u00f6r\u00fcr. Faizsiz bir sermaye piyasas\u0131 \u00fcr\u00fcn\u00fc olmas\u0131 nedeniyle \u0130slam finans sistemi i\u00e7erisinde \u00f6nemli bir yere sahiptir.<\/p>\n<p style=\"text-align: justify;\">Faiz ile ba\u011flant\u0131s\u0131 olmad\u0131\u011f\u0131ndan kira sertifikalar\u0131 \u00f6zellikle Ortado\u011fulu yat\u0131r\u0131mc\u0131lar\u0131n ilgi oda\u011f\u0131d\u0131r. S\u00f6zle\u015fmeye dayal\u0131 olan gelirleri i\u00e7eren bu belgeler kullan\u0131c\u0131s\u0131na tahmin edilebilir bir nakit ak\u0131\u015f\u0131 sa\u011flayacakt\u0131r. Her t\u00fcrl\u00fc hak ve varl\u0131klar kira sertifikalar\u0131na konu olabilir. Kira sertifikas\u0131n\u0131n \u00e7er\u00e7eve niteli\u011finde olan tan\u0131m\u0131 Sermaye Piyasas\u0131 Kurulu Kanunu\u2019nda belirtilmi\u015ftir.<\/p>\n<h2 style=\"text-align: center;\">Kira Sertifikas\u0131n\u0131n \u00d6zellikleri Nelerdir?<\/h2>\n<p style=\"text-align: justify;\">Kira sertifikalar\u0131 varl\u0131k kiralama \u015firketleri taraf\u0131ndan ihra\u00e7 edilir. Sertifikaya konu olan varl\u0131k ya da haklardan elde edilen gelirler kullan\u0131c\u0131lara paylar\u0131 oran\u0131nda da\u011f\u0131t\u0131l\u0131r. Bu belgelere ili\u015fkin nitelikler Kurul taraf\u0131ndan belirlenir. Sertifikada s\u00f6z edilen haklar 4721 say\u0131l\u0131 y\u00fcr\u00fcrl\u00fckteki <a href=\"https:\/\/www.mevzuat.gov.tr\/mevzuatmetin\/1.5.4721.pdf\" target=\"_blank\" rel=\"noopener\">T\u00fcrk Medeni Kanunu<\/a> ve di\u011fer kanunlarda d\u00fczenlenen haklar\u0131 i\u00e7erir.<\/p>\n<p style=\"text-align: justify;\">Kira sertifikalar\u0131 ihra\u00e7 edildikten sonra Merkezi Kay\u0131t Kurulu\u015fu (MKK) b\u00fcnyesinde elektronik ortamda kay\u0131t alt\u0131na al\u0131n\u0131r ve hak sahipleri taraf\u0131ndan izlenebilir. Bu varl\u0131\u011fa ya da hakka ait getiriler belli periyotlarla verilir. \u0130hra\u00e7lar\u0131 halka arz edilmeden de ger\u00e7ekle\u015febilir. Halka arzs\u0131z sat\u0131\u015flarda nitelikli yat\u0131r\u0131mc\u0131lara sat\u0131\u015f ve tahsisli sat\u0131\u015f olmak \u00fczere iki farkl\u0131 uygulama \u015fekli mevcuttur.<\/p>\n<h2 style=\"text-align: center;\">Kira Sertifikalar\u0131n\u0131n Avantajlar\u0131<\/h2>\n<p style=\"text-align: justify;\">Sukuk yani kira sertifikalar\u0131n\u0131n avantajlar\u0131 bu yat\u0131r\u0131m ara\u00e7lar\u0131na olan talebi art\u0131r\u0131r. Teminata alma imkan\u0131 sunan sertifikalar iste\u011fe g\u00f6re faizsiz bankac\u0131l\u0131k alan\u0131nda teminat olarak kullan\u0131labilir. Varl\u0131\u011fa dayal\u0131 olarak d\u00fczenlenen bu belgelerde g\u00f6zle g\u00f6r\u00fclebilir maddi bir ger\u00e7eklik ve ger\u00e7ek bir ticari ili\u015fki mevcuttur.<\/p>\n<p style=\"text-align: justify;\">Sahibine d\u00f6nemsel getiri alma olana\u011f\u0131 sunan sertifikalar Borsa \u0130stanbul\u2019da kote olur. \u0130kinci el piyasa i\u015flemleri kapsam\u0131nda likidite olana\u011f\u0131 y\u00fcksektir. \u0130htiya\u00e7lar\u0131na g\u00f6re yat\u0131r\u0131mc\u0131lar isterlerse kira sertifikalar\u0131n\u0131 vadeden \u00f6nce k\u0131smen ya da tamamen nakde \u00e7evirebilirler. Uzun ve orta vadeli sabit getiri imkan\u0131 kira sertifikalar\u0131n\u0131n en avantajl\u0131 \u00f6zelliklerinden biridir.<\/p>\n<p style=\"text-align: justify;\">Bu sayede varl\u0131k ve hak sahipleri hem orta hem de uzun vadede sabit getiri elde edebilirler. Sukuk ger\u00e7ek ki\u015fi yat\u0131r\u0131mc\u0131lar, dar ve tam m\u00fckellefler, limited, anonim ve komandit \u015firketler i\u00e7in farkl\u0131 oranlarda vergi avantaj\u0131 sunar. Bu oranlar\u0131n ne olaca\u011f\u0131 Hazine ve Maliye Bakanl\u0131\u011f\u0131 taraf\u0131ndan g\u00fcncellenir.<\/p>\n<h2 style=\"text-align: center;\">Kira Sertifikalar\u0131 Ka\u00e7 \u00c7e\u015fittir?<\/h2>\n<p style=\"text-align: justify;\">T\u00fcrk mevzuat\u0131na g\u00f6re kira sertifikalar\u0131n\u0131n \u00e7e\u015fitleri be\u015f gruba ayr\u0131l\u0131r. Bunlar sahipli\u011fe dayal\u0131, y\u00f6netim s\u00f6zle\u015fmesine dayal\u0131, ortakl\u0131\u011fa dayal\u0131, al\u0131m sat\u0131ma dayal\u0131 ve eser s\u00f6zle\u015fmesine dayal\u0131d\u0131r. Sahipli\u011fe dayanan kira sertifikalar\u0131n\u0131n ihra\u00e7 amac\u0131 Varl\u0131k Kiralama \u015eirketi ad\u0131na y\u00f6netilmek, \u00fc\u00e7\u00fcnc\u00fc ki\u015filere ya da kaynak kurulu\u015fa kiralanmakt\u0131r.<\/p>\n<p style=\"text-align: justify;\">Ortakl\u0131\u011fa dayal\u0131 sertifikalar ise Varl\u0131k Kiralama \u015eirketi\u2019nin ortak giri\u015fimine kat\u0131lmak amac\u0131yla ihra\u00e7 edilir. Kira sertifikalar\u0131 y\u00f6netim s\u00f6zle\u015fmesine dayal\u0131 oldu\u011funda kaynak kurulu\u015fa ait olan varl\u0131k ya da haklar kiralanmas\u0131 da dahil olacak \u015fekilde vadesi boyunca Varl\u0131k Kiralama \u015eirketi lehine y\u00f6netilir. S\u00f6zle\u015fme h\u00fck\u00fcmlerine g\u00f6re buradan elde edilen gelirler Varl\u0131k Kiralama \u015eirketi\u2019ne aktar\u0131l\u0131r.<\/p>\n<p style=\"text-align: justify;\">Eser s\u00f6zle\u015fmesine dayal\u0131 olan sukuklarda ise Varl\u0131k Kiralama \u015eirketi i\u015f sahibi s\u0131fat\u0131ndad\u0131r. Bir eser s\u00f6zle\u015fmesine taraf olur ve bu eserin ortaya \u00e7\u0131kmas\u0131n\u0131 sa\u011flamak amac\u0131yla sertifika ihra\u00e7 edilir. Son t\u00fcr olan al\u0131m sat\u0131ma dayanan kira sertifikalar\u0131 ise Varl\u0131k Kiralama \u015eirketi taraf\u0131ndan sat\u0131n al\u0131nan haklar\u0131n ya da varl\u0131klar\u0131n belirli niteliklere sahip olan \u015firketlere vadeli olarak sat\u0131lmas\u0131d\u0131r. Hak ya da varl\u0131k al\u0131m\u0131n\u0131n finansman\u0131 sa\u011flan\u0131r.<\/p>\n<h2 style=\"text-align: center;\">Kira Sertifikalar\u0131 Nas\u0131l Al\u0131n\u0131r?<\/h2>\n<p style=\"text-align: justify;\">Kira sertifikas\u0131 almak isteyenler i\u00e7in birden fazla se\u00e7enek vard\u0131r. \u0130kincil piyasalar, banka \u015fubeleri ve ihra\u00e7 en fazla tercih edilen y\u00f6ntemlerdir. Bankalar arac\u0131l\u0131\u011f\u0131yla i\u015flem yapmak isteyenlerin faizsiz bankac\u0131l\u0131k prensiplerine g\u00f6re faaliyet g\u00f6steren kat\u0131l\u0131m bankalar\u0131n\u0131 se\u00e7meleri gerekir.<\/p>\n<p style=\"text-align: justify;\">Bankalarda i\u015flemler hafta i\u00e7i g\u00fcnlerde ve mesai saatleri i\u00e7erisinde ger\u00e7ekle\u015fecektir. Talep i\u00e7in ilgili bankada kullan\u0131c\u0131lar\u0131n yat\u0131r\u0131m hesab\u0131na sahip olmalar\u0131 istenir. \u0130kincil piyasalar arac\u0131l\u0131\u011f\u0131yla kira sertifikas\u0131 almak i\u00e7in banka mobil \u015fubeleri, internet \u015fubesi kullan\u0131labilir.<\/p>\n<p style=\"text-align: justify;\">Mobil \u015fubeden izlenecek ad\u0131mlar \u00e7o\u011funlukla benzerdir. \u0130\u015flemler- al\u0131\u015f sat\u0131\u015f- lira sertifikas\u0131 i\u015flemleri- kira sertifikas\u0131 sat\u0131\u015f\/kira sertifikas\u0131 al\u0131\u015f ad\u0131mlar\u0131 takip edilir. Do\u011frudan \u015fubeden al\u0131m yapmak isteyenler ise yat\u0131r\u0131m hesap numaras\u0131 ve imzal\u0131 talep formu ile sukuk al\u0131m i\u015flemlerini tamamlayabilirler. \u0130nternet \u015fubesi al\u0131mlar\u0131nda ise do\u011frudan yat\u0131r\u0131m i\u015flemleri men\u00fcs\u00fc kullan\u0131l\u0131r.<\/p>\n<p style=\"text-align: justify;\">\u00d6zellikle vurgulamakta fayda var; ba\u015fta kira sertifikas\u0131 olmak \u00fczere <a href=\"https:\/\/esen.av.tr\/ar\/portfolio\/gayrimenkul-hukuku\/\">ta\u015f\u0131nmaz hukuku<\/a>nun inceleme ve d\u00fczenleme alan\u0131na giren hukuki i\u015f, i\u015flem, uyu\u015fmazl\u0131k ve davada <a href=\"https:\/\/esen.av.tr\/ar\/tapu-ve-gayrimenkul-avukati\/\">gayrimenkul avukat\u0131<\/a> yard\u0131m\u0131na ba\u015fvurmak, hatal\u0131 veya ihmali i\u015flemler sebebiyle hak ve menfaat kayb\u0131 ya\u015fanmamas\u0131 ad\u0131na en sa\u011fl\u0131kl\u0131 yakla\u015f\u0131m olacakt\u0131r.<\/p>\n<h2 style=\"text-align: center;\">Kira Sertifikas\u0131 ile \u0130lgili Bilinmesi Gereken Hususlar<\/h2>\n<p class=\"has-normal-font-size\" style=\"text-align: justify;\">Kira sertifikalar\u0131, varl\u0131k kiralama \u015firketleri taraf\u0131ndan ihra\u00e7 edilen ve sahiplerinin bu varl\u0131k ve haklardan yarar elde edilen gelirlerden paylar\u0131 oran\u0131nda hak sahibi olmalar\u0131n\u0131 sa\u011flayan sermaye piyasas\u0131 ara\u00e7lar\u0131d\u0131r. Sukuk orta ya da uzun vadeli sabit ya da de\u011fi\u015fken getiri imkan\u0131 sa\u011flayan ve faizsiz sermaye piyasas\u0131 \u00fcr\u00fcn\u00fc olup, likit bir finansal ara\u00e7 olarak ikincil piyasada i\u015flem g\u00f6rmektedir. Kira sertifikalar\u0131, faizin yasak oldu\u011fu \u0130slam Finans Sisteminin \u00f6nemli yap\u0131 ta\u015flar\u0131ndand\u0131r.<\/p>\n\n\n\n<p class=\"has-normal-font-size\" style=\"text-align: justify;\">Kira sertifikalar\u0131 herhangi bir \u015fekilde faize dayal\u0131 i\u015flemleri i\u00e7ermedi\u011fi ve kira geliri helal faaliyet say\u0131ld\u0131\u011f\u0131 i\u00e7in \u00f6zellikle Ortado\u011fulu yat\u0131r\u0131mc\u0131lar taraf\u0131ndan ilgiyle kar\u015f\u0131lanmaktad\u0131r. Sukuk, s\u00f6zle\u015fmeye dayal\u0131 gelirleri kapsamakta, bu nedenle de ayn\u0131 faize dayal\u0131 sermaye piyasas\u0131 ara\u00e7lar\u0131 gibi tahmin edilebilir bir nakit ak\u0131\u015f\u0131 sa\u011flamaktad\u0131r.<\/p>\n\n\n\n<p class=\"has-normal-font-size\" style=\"text-align: justify;\">Kira sertifikalar\u0131 Sermaye Piyasas\u0131 Kanunu\u2019nda <em>\u201cKira sertifikalar\u0131, her t\u00fcrl\u00fc varl\u0131k veya hakk\u0131n finansman\u0131n\u0131 sa\u011flamak amac\u0131yla varl\u0131k kiralama \u015firketleri taraf\u0131ndan ihra\u00e7 edilen ve sahiplerinin bu varl\u0131k veya haklardan elde edilen gelirlerden paylar\u0131 oran\u0131nda hak sahibi olmalar\u0131n\u0131 sa\u011flayan, nitelikleri Kurulca belirlenen sermaye piyasas\u0131 ara\u00e7lar\u0131d\u0131r.\u201d<\/em> \u015feklinde tan\u0131mlanm\u0131\u015ft\u0131r.<\/p>\n\n\n\n<p class=\"has-normal-font-size\" style=\"text-align: justify;\">Kira sertifikalar\u0131na konu olan \u015feyler varl\u0131k ve haklar olsa da bunlar\u0131n neler oldu\u011fu belirlenmemi\u015ftir. Haklar bak\u0131m\u0131ndan T\u00fcrk Medeni Kanunu ve di\u011fer kanunlarda d\u00fczenlenmi\u015f bulunan haklar kira sertifikalar\u0131n\u0131n uygulama konusuna girecektir. Varl\u0131k bak\u0131m\u0131ndan ise her t\u00fcrl\u00fc menkul ve gayrimenkul mal varl\u0131k kapsam\u0131nda de\u011ferlendirilebilir.<\/p>\n\n\n\n<p class=\"has-normal-font-size\" style=\"text-align: justify;\">Kira sertifikalar\u0131 Kira Sertifikalar\u0131 Tebli\u011fi\u2019de <em>\u201c<\/em><em>Her t\u00fcrl\u00fc varl\u0131k ve hakk\u0131n finansman\u0131n\u0131 sa\u011flamak amac\u0131yla varl\u0131k kiralama \u015firketi taraf\u0131ndan ihra\u00e7 edilen ve sahiplerinin bu varl\u0131k veya haktan elde edilen gelirlerden paylar\u0131 oran\u0131nda hak sahibi olmalar\u0131n\u0131 sa\u011flayan menkul k\u0131ymet\u201d<\/em> olarak tan\u0131mlan\u0131\u015ft\u0131r.<\/p>\n\n\n\n<p class=\"has-normal-font-size\" style=\"text-align: justify;\">Kira Sertifikalar\u0131 Sermaye Piyasas\u0131 Kanununda sermaye piyasas\u0131 arac\u0131, Kira Sertifikalar\u0131 Tebli\u011fi\u2019nde ise menkul k\u0131ymet olarak tan\u0131mlanm\u0131\u015f olsa da kanun di\u011fer sermaye piyasas\u0131 ara\u00e7lar\u0131n\u0131 da d\u00fczenledi\u011finden b\u00f6yle bir fark\u0131n meydana \u00e7\u0131kmas\u0131 do\u011fald\u0131r.<\/p>\n\n\n\n<p class=\"has-normal-font-size\" style=\"text-align: justify;\">Kira sertifikalar\u0131 (Sukuk) orta ya da uzun vadeli sabit ya da de\u011fi\u015fken getiri imkan\u0131 sa\u011flayan ve faizsiz sermaye piyasas\u0131 \u00fcr\u00fcn\u00fc olup, likit bir finansal ara\u00e7 olarak ikincil piyasada i\u015flem g\u00f6rmektedir. Sukuk, ticari bir varl\u0131\u011f\u0131n menkul k\u0131ymetle\u015ftirilerek sertifikalar arac\u0131l\u0131\u011f\u0131yla sat\u0131m\u0131d\u0131r.
