Bu s\u00f6zle\u015fmeler arac\u0131l\u0131\u011f\u0131 ile arsa pay\u0131 sahipleri ile y\u00fcklenici aras\u0131nda kar\u015f\u0131l\u0131kl\u0131 olarak edimlerin yerine getirilece\u011fi ifade edilir. Karma nitelikli ve \u00e7ift y\u00f6nl\u00fc s\u00f6zle\u015fme olmas\u0131 ile \u00f6ne \u00e7\u0131kan kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri kanunda \u00f6ng\u00f6r\u00fclen bir \u015fekil \u015fart\u0131na tabi de\u011fildir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Bununla birlikte <a href=\"https:\/\/www.mevzuat.gov.tr\/mevzuatmetin\/1.3.2644.pdf\" target=\"_blank\" rel=\"noopener\">Tapu Kanunu<\/a> ve <a href=\"https:\/\/www.mevzuat.gov.tr\/mevzuatmetin\/1.5.1512.pdf\" target=\"_blank\" rel=\"noopener\">Noterlik Kanunu<\/a> kapsam\u0131nda resmi olarak haz\u0131rland\u0131\u011f\u0131nda yasal anlamda ge\u00e7erlilik kazan\u0131r. Bu t\u00fcr s\u00f6zle\u015fmelerde arsa sahibi maddi bir bedel \u00f6demeden daire sahibi olurken y\u00fcklenici de yapaca\u011f\u0131 in\u015faata kar\u015f\u0131l\u0131k kendi pay\u0131na d\u00fc\u015flen daireleri al\u0131r. Bu s\u00f6zle\u015fmeler haz\u0131rlan\u0131rken t\u00fcm ayr\u0131nt\u0131lar\u0131n d\u00fc\u015f\u00fcn\u00fclmesi ileride kar\u015f\u0131la\u015f\u0131labilecek problemlerin \u00f6nlenmesi a\u00e7\u0131s\u0131ndan gerekir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Netice itibariyle, kar\u015f\u0131l\u0131kl\u0131 hak kay\u0131plar\u0131n\u0131n ya\u015fanmas\u0131 engellenebilir. Kat kar\u015f\u0131l\u0131\u011f\u0131 ya da ar\u015fa kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat faaliyetleri g\u00fcn\u00fcm\u00fczde s\u0131kl\u0131kla kar\u015f\u0131la\u015f\u0131lan uygulamalardan biridir. Artan konut ihtiya\u00e7lar\u0131, yap\u0131 stoklar\u0131n\u0131n eski olmas\u0131, arsa sahiplerinin deprem b\u00f6lgelerinde olu\u015fan risklere ba\u011fl\u0131 olarak binalar\u0131n\u0131 yenileme talebi bu faaliyetlerin olu\u015fmas\u0131nda etkendir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Bahse konu s\u00f6zle\u015fmeler Bor\u00e7lar Kanunu\u2019nda d\u00fczenlenmemesine ra\u011fmen Bor\u00e7lar Kanunu\u2019nda yer alan eser s\u00f6zle\u015fmesi ve ta\u015f\u0131nmaz sat\u0131\u015f vaadi s\u00f6zle\u015fmesi unsurlar\u0131n\u0131 bar\u0131nd\u0131rmas\u0131 bak\u0131m\u0131ndan karma bir s\u00f6zle\u015fme olarak ortaya \u00e7\u0131kar. S\u00f6zle\u015fme kapsam\u0131nda arsa sahibi arsan\u0131n belirli paylar\u0131n\u0131 m\u00fcteahhide devretmeyi taahh\u00fct ederken bunun kar\u015f\u0131l\u0131\u011f\u0131nda da m\u00fcteahhit arsa \u00fczerinde in\u015fa edece\u011fi binaya ait ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmlerden belirlenmi\u015f olanlar\u0131 arsa sahibine teslim etme borcu alt\u0131na girer.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Uygulama s\u0131ras\u0131nda arsa paylar\u0131 in\u015faat\u0131n ula\u015ft\u0131\u011f\u0131 seviyeye ba\u011fl\u0131 olarak k\u0131smi olarak da m\u00fcteahhide devredilebilmektedir. M\u00fcteahhide verilebilecek yetkilerden biri de devredilen arsa paylar\u0131n\u0131n \u00fc\u00e7\u00fcnc\u00fc ki\u015filere sat\u0131\u015f\u0131d\u0131r. Bu yetki kapsam\u0131nda m\u00fcteahhit kendisine devredilen arsa paylar\u0131n\u0131 \u00fc\u00e7\u00fcnc\u00fc ki\u015filere satabilmektedir. \u015eimdi, s\u00f6ze konu s\u00f6zle\u015fmeyi daha yak\u0131ndan inceleyelim.<\/p>\n<h2 style=\"text-align: justify;\">Kat Kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat S\u00f6zle\u015fmesi Nedir?<\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri gayrimenkul sat\u0131\u015f vaadi s\u00f6zle\u015fmelerinin yan\u0131 s\u0131ra eser s\u00f6zle\u015fmeleri de i\u00e7inde bar\u0131nd\u0131ran karma bir s\u00f6zle\u015fme t\u00fcr\u00fcd\u00fcr. Bu s\u00f6zle\u015fme kapsam\u0131nda arsa sahibi belirli bir arsa pay\u0131n\u0131 y\u00fckleniciye devrederken y\u00fcklenici de bunun kar\u015f\u0131l\u0131\u011f\u0131nda s\u00f6zle\u015fmede yer alan niteliklere haiz bir eser ortaya \u00e7\u0131kar\u0131r.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">6098 say\u0131l\u0131 y\u00fcr\u00fcrl\u00fckteki T\u00fcrk Bor\u00e7lar Kanunu kapsam\u0131nda s\u00f6zle\u015fmelerin ge\u00e7erlili\u011fi taraf iradelerinin birbiri ile uyumlu olmas\u0131na ba\u011fl\u0131d\u0131r. Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde resmi olarak haz\u0131rlanm\u0131\u015f olma durumu ge\u00e7erlilik sebebidir. \u0130fade edilen s\u00f6zle\u015fmeler noter kanal\u0131 ile ya da tapu dairesinde resmi olarak haz\u0131rlanmal\u0131d\u0131r. Aksi takdirde hukuki ge\u00e7erlili\u011fi haiz olmayacakt\u0131r.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri fesih ile sonland\u0131r\u0131labilece\u011fi gibi s\u00f6zle\u015fmenin ifa edilmesi de s\u00f6zle\u015fmenin sonlanma nedenidir. Bunun yan\u0131 s\u0131ra ifa d\u0131\u015f\u0131ndaki baz\u0131 hallerde de s\u00f6zle\u015fme sonlanabilir. Y\u00fcklenicinin vefat\u0131 veya kusur atfedilemeyecek derecedeki imk\u00e2ns\u0131zl\u0131k halleri de s\u00f6zle\u015fmeyi sonland\u0131rabilir. Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri her iki tarafa da kar\u015f\u0131l\u0131kl\u0131 olarak bor\u00e7 ve alacak y\u00fckler.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Tam iki tarafl\u0131 s\u00f6zle\u015fme olma \u00f6zelli\u011fi de bu y\u00f6n\u00fcnden kaynaklan\u0131r. Arsa sahibi s\u00f6zle\u015fme uyar\u0131nca kararla\u015ft\u0131r\u0131lan arsa paylar\u0131n\u0131n devrini m\u00fcteahhide yapmay\u0131 taahh\u00fct ederken m\u00fcteahhit de binay\u0131 tamamlayarak belirlenen ba\u011f\u0131ms\u0131z b\u00f6l\u00fcmleri arsa sahibine teslim etmeyi kabul eder. Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri ani edimli bor\u00e7 ili\u015fkisini, do\u011furur. Bu sebeple de borcun ifas\u0131 ger\u00e7ekle\u015fti\u011finde s\u00f6zle\u015fme sona erer.<\/p>\n<h2 style=\"text-align: center;\">Kat Kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat S\u00f6zle\u015fmesinin Feshi<\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde fesih, s\u00f6zle\u015fmenin taraflar\u0131 ba\u011flay\u0131c\u0131l\u0131\u011f\u0131n\u0131 ortadan kald\u0131rmaktad\u0131r. Fesih i\u015flemi ile s\u00f6zle\u015fme ileriye y\u00f6nelik olarak hukuki sonu\u00e7lar do\u011furmaktad\u0131r. T\u00fcrk Bor\u00e7lar Kanunu kapsam\u0131nda y\u00fcklenicinin i\u015fe zaman\u0131nda ba\u015flamamas\u0131 durumunda ve arsa sahibinin bu konuya y\u00f6nelik bir sorumlulu\u011fu yoksa teslim tarihi beklenmeden fesih yap\u0131labilir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Y\u00fcklenicinin ay\u0131ptan kaynaklanan sorumluluklar\u0131 varsa, s\u00f6zle\u015fmeye ciddi derecede ayk\u0131r\u0131l\u0131klar s\u00f6z konusu ise, eserdeki ay\u0131p eserden beklenen fayday\u0131 \u00e7ok g\u00fc\u00e7le\u015ftiriyorsa arsa sahibi s\u00f6zle\u015fmeyi feshedebilir. Arsa sahibi y\u00fcklenicinin ay\u0131pl\u0131 eser teslim etmesi durumunda kusur oran\u0131nda bedelden indirim talep edebilir. A\u015f\u0131r\u0131 masraf gerektirmeyen kusurlarda ise masraflar\u0131 y\u00fcklenicinin kar\u015f\u0131lamas\u0131 kayd\u0131yla onar\u0131m talep edebilir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Arsa sahibi fesih i\u015flemini yapaca\u011f\u0131 zaman y\u00fckleniciye ihtar \u00e7ekilmesi gerekir. Eserin tesliminden itibaren 5 y\u0131ll\u0131k s\u00fcrede fesih hakk\u0131 kullan\u0131labilir. Y\u00fcklenicinin a\u011f\u0131r kusurlu oldu\u011fu durumlarda ise bu s\u00fcre 20 y\u0131ld\u0131r. Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri iki taraf\u0131n anla\u015fmas\u0131 yolu ile feshedilebilece\u011fi gibi uyu\u015fmazl\u0131k \u00e7\u00f6z\u00fcmlenemedi\u011finde mahkeme yolu ile de feshedilebilir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri kapsam\u0131nda edimin ifa edilmi\u015f olmas\u0131 borcun sona ermesi anlam\u0131na gelir. Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinin \u015fekil \u015fart\u0131na ili\u015fkin hususlara de\u011finmeden \u00f6nce \u00f6zellikle vurgulamak gerekir ki, i\u015fbu s\u00f6zle\u015fmenin d\u00fczenlenmesi, feshi veya s\u00f6zle\u015fme sebebiyle ya\u015fanan uyu\u015fmazl\u0131klar\u0131n giderilmesinde yetkin bir <strong><a href=\"https:\/\/esen.av.tr\/ar\/portfolio\/gayrimenkul-hukuku\/\">gayrimenkul hukuku avukat\u0131<\/a><\/strong>ndan yard\u0131m almak, hak kayb\u0131 ya\u015fanmamas\u0131 ad\u0131na en do\u011fru yakla\u015f\u0131m olacakt\u0131r.<\/p>\n<h2 style=\"text-align: center;\">Kat Kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat S\u00f6zle\u015fmesi \u015eekil \u015eart\u0131<\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri \u00e7ift tarafl\u0131 ve karma s\u00f6zle\u015fmeler aras\u0131nda yer al\u0131r. Bu s\u00f6zle\u015fme kapsam\u0131nda taraflar kar\u015f\u0131l\u0131kl\u0131 olarak edimleri yerine getirmekle y\u00fck\u00fcml\u00fc olur. Kanunda \u00f6ng\u00f6r\u00fclen bir \u015fekil \u015fart\u0131 olmamas\u0131na ra\u011fmen Noterlik Kanunu ve Tapu Kanunu kapsam\u0131nda bu t\u00fcr s\u00f6zle\u015fmelerin resmi olarak haz\u0131rlanmas\u0131 gerekir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Resmi \u015fekilde haz\u0131rlanan s\u00f6zle\u015fmeler noter huzurunda ya da tapu dairesinde imzalanmal\u0131d\u0131r. Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinin ge\u00e7erlili\u011fi resmi bi\u00e7imde yap\u0131lm\u0131\u015f olmalar\u0131na ba\u011fl\u0131d\u0131r. Aksi durumda taraflar\u0131 ba\u011flay\u0131c\u0131l\u0131\u011f\u0131 bulunmaz. Eser s\u00f6zle\u015fmelerin bir t\u00fcr\u00fc olan kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmeleri \u00f6zel bir ge\u00e7erlilik \u015fekline tabi de\u011fildir.<\/p>\n<p style=\"font-weight: 400; text-align: justify;\">Karma s\u00f6zle\u015fme olmas\u0131 nedeni ile kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde ta\u015f\u0131nmaz m\u00fclkiyetinin devri borcu do\u011fmaktad\u0131r. Bu \u00f6zellik nedeni ile s\u00f6zle\u015fmenin resmi \u015fekilde yap\u0131lm\u0131\u015f olmas\u0131 zorunludur. \u015eekle ayk\u0131r\u0131l\u0131k kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde ge\u00e7ersizlik sebebidir. \u015eimdi, kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinde arsa sahibinin sorumluluklar\u0131na mercek tutaca\u011f\u0131z.<\/p>\n<h2 style=\"text-align: center;\">Kat Kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat S\u00f6zle\u015fmesinde Arsa Sahibinin Sorumluluklar\u0131<\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde taraflar \u00e7e\u015fitli edimleri yerine getireceklerine dair taahh\u00fctte bulunur. Arsa sahibi ve y\u00fcklenici aras\u0131nda imzalanan bu t\u00fcr s\u00f6zle\u015fmeler kapsam\u0131nda her iki taraf da sorumluluk \u00fcstlenir. Arsa sahibinin sorumluluklar\u0131 aras\u0131nda arsan\u0131n belirli pay\u0131n\u0131n m\u00fclkiyetini y\u00fckleniciye devretmek yer al\u0131r. Bu devir s\u0131ras\u0131nda arsan\u0131n sorunsuz olmas\u0131 ko\u015fulu aran\u0131r. Arsa \u00fczerindeki imar problemleri veya farkl\u0131 sorunlar\u0131n giderilmi\u015f olmas\u0131 gerekir.<\/p>\n<h2 style=\"text-align: justify;\">Kat Kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat S\u00f6zle\u015fmesinde Zamana\u015f\u0131m\u0131 S\u00fcresi<\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde taraflar kar\u015f\u0131l\u0131kl\u0131 olarak y\u00fck\u00fcml\u00fcl\u00fck alt\u0131na girer. Ay\u0131pl\u0131 edimden kaynaklanan ba\u015fvurularda zamana\u015f\u0131m\u0131 5 y\u0131ld\u0131r. Bunun yan\u0131 s\u0131ra y\u00fcklenicinin a\u011f\u0131r kusuru varsa zamana\u015f\u0131m\u0131 s\u00fcresi 20 y\u0131ld\u0131r. Yasal s\u00fcreler sebebiyle hak kayb\u0131 ya\u015fanmamas\u0131 ad\u0131na Zamana\u015f\u0131m\u0131 s\u00fcresine dikkat etmek icap eder.<\/p>\n<h2 style=\"text-align: center;\">Kat Kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat S\u00f6zle\u015fmesi Feshi Davas\u0131 Ne Kadar S\u00fcrer?<\/h2>\n<p style=\"font-weight: 400; text-align: justify;\">Kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmelerinde taraflar\u0131n kar\u015f\u0131l\u0131kl\u0131 irade beyan\u0131 ile fesih yap\u0131labilece\u011fi gibi anla\u015fma sa\u011flanamazsa mahkeme yoluna ba\u015fvurmak sureti ile de fesih i\u015flemi yap\u0131labilir. Bu t\u00fcr davalar\u0131n kapsam\u0131na ba\u011fl\u0131 olarak sonu\u00e7lanma s\u00fcrelerinde de\u011fi\u015fiklik olabilir. Karar\u0131, davac\u0131 vekili temyiz etmi\u015ftir.<\/p>\n<p style=\"text-align: justify;\">Dosya kapsam\u0131na g\u00f6re, davac\u0131 taraf\u0131ndan daval\u0131 &#8230;&#8217;ye 13.02.2007 tarihinde ilk vek\u00e2letnamenin, 28.06.2007 tarihinde ikinci vek\u00e2letnamenin verildi\u011fi, bu vek\u00e2letnamelerde davac\u0131ya ait 2. ve 3. nolu parsellerle ilgili olarak kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinin yap\u0131lmas\u0131n\u0131n ama\u00e7land\u0131\u011f\u0131, bundan sonra vekil taraf\u0131ndan di\u011fer daval\u0131 &#8230; ile 28.06.2007 tarihinde kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinin d\u00fczenlendi\u011fi, bu s\u00f6zle\u015fmenin d\u00fczenlenmesinden sonra 22.08.2007 tarihinde davac\u0131 vekili taraf\u0131ndan 2 nolu parselin 1\/2 pay\u0131n\u0131n dava d\u0131\u015f\u0131 &#8230; \u0130n\u015faat Ltd. \u015eti.&#8217;ne devredildi\u011fi, &#8230; \u0130n\u015faat Ltd. \u015eti. taraf\u0131ndan da 18.06.2009 tarihinde dava d\u0131\u015f\u0131 &#8230;&#8217;a devredildi\u011fi,&#8230; taraf\u0131ndan da 27.07.2009 tarihinde daval\u0131 &#8230;&#8217;e devredildi\u011fi, daval\u0131 &#8230;&#8217;in cevap dilek\u00e7esinde de kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesinin gere\u011finin, s\u00f6zle\u015fmedeki %30`luk imar oran\u0131n\u0131n ger\u00e7ekle\u015fmemesi nedeniyle yerine getirilemedi\u011fini belirtti\u011fi anla\u015f\u0131lm\u0131\u015f, t\u00fcm bu hususlar dikkate al\u0131nd\u0131\u011f\u0131nda, daval\u0131 &#8230;&#8217;e devredilen 2 nolu parselin 1\/2 pay\u0131n\u0131n kat kar\u015f\u0131l\u0131\u011f\u0131 in\u015faat s\u00f6zle\u015fmesi gere\u011fi devredildi\u011fi anla\u015f\u0131lmaktad\u0131r.
